Pitfalls and Checks

  • Date format — always spell out the month ("January 15, 2025"); never numeric-only
  • Entity signers — distinguish "individually" vs. "as [Title] of [Entity Name]"
  • Registration states — add state-specific addenda acknowledgment for CA, NY, IL, MD, MN, VA, WA, WI; check uploaded documents for applicable states
  • Exhibit completeness — cross-reference FDD table of contents to verify exhibit list is exhaustive
  • Minimal placeholders — insert transaction data from uploaded documents; bracket only genuinely unknown fields
  • State timing mandates — 16 C.F.R. § 436 governs federal requirements; always check for additional state-level timing or content rules
