Limitation of Liability

NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S TOTAL LIABILITY
SHALL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

IP Assignment (Work for Hire)

All work product created by [Party] under this Agreement shall be deemed
'work made for hire' and shall be the sole and exclusive property of [Client].
[Party] assigns all right, title, and interest in such work product to [Client].

Mutual NDA Core Terms

Each party agrees to: (a) hold the other's Confidential Information in strict
confidence; (b) not disclose to third parties without prior written consent;
(c) use only for purposes of evaluating/performing under this Agreement;
(d) protect with at least the same care as its own confidential information
(no less than reasonable care).

Redlining Guide

When reviewing an incoming contract, flag: 🔴 REJECT: terms that create unacceptable risk (unlimited liability, broad IP assignment of pre-existing IP) 🟡 NEGOTIATE: terms that are unfavorable but negotiable (payment terms, notice periods, warranty scope) 🟢 ACCEPT: standard terms that are market-normal 📋 CLARIFY: terms that are ambiguous or undefined

SaaS Agreement Key Terms

• SLA: uptime commitment (99.9% = ~8.7 hours/year downtime), service credits for breach
• Data ownership: customer owns their data; vendor cannot use for training or benchmarking without consent
• Data security: SOC2 Type II or equivalent; breach notification within 72 hours
• Termination for convenience: 30-day notice, data export provided for 30 days post-termination
